Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Simantic website, dashboard, API, MCP, CLI, and Desktop App (together, the “Service”), provided by Simantic, Inc. (“Simantic,” “we,” “us”). By using the Service, you agree to these Terms.

2. Accounts

You may create an account by signing in with Google. You are responsible for maintaining the confidentiality of your credentials and personal access tokens, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party rights.
  • Attempt to probe, scan, reverse engineer, or disrupt the Service or its infrastructure.
  • Share or resell personal access tokens, or use the API in a way that places undue load on the Service.
  • Submit content (including resumes or project descriptions) that you do not have the right to share.

4. Your content

You retain ownership of the content you submit (form responses, resumes, project descriptions, firmware metadata sent by the CLI). You grant Simantic a limited license to host, process, and display that content as needed to operate the Service.

5. Beta features

Some features may be offered as previews or beta. They are provided “as is” and may change or be discontinued at any time.

6. Fees

Paid plans, if any, are described on our pricing page. We will give reasonable notice before any price change affecting an active subscription.

7. Intellectual property

The Service, including all software, designs, and trademarks, is owned by Simantic or its licensors. These Terms do not grant you any rights to our trademarks or branding.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIMANTIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMANTIC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (B) USD $100. SIMANTIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify Simantic against claims arising from your misuse of the Service or violation of these Terms.

11. Termination

We may suspend or terminate access to the Service if you violate these Terms or if required by law. You may stop using the Service at any time.

12. Governing law

These Terms are governed by the laws of [TBD jurisdiction], without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of [TBD venue].

13. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
